Terms of Service

Last updated: May 2026. These terms are written to be fair to both parties. If anything is unclear, please reach out before we begin working together.

The short version:We work together as professionals. Agreements are binding. Fees are non-refundable once work starts. You own the content after full payment. We keep your business information private. That’s it.

1. Acceptance of Terms

Using oth3l.com, submitting an inquiry, or starting a project means you agree to these Terms and our Privacy Policy.

If you’re signing up on behalf of a company, you confirm you have the authority to do so.

These Terms — together with any signed proposal or scope of work — form the full agreement between us.

2. Our Services

OTH3L provides:

  • Content marketing and SEO strategy
  • Generative Engine Optimization (GEO)
  • Answer Engine Optimization (AEO)
  • AI visibility and citation strategy
  • Related content and growth services

Every project starts with a written proposal that outlines scope, deliverables, timelines, and fees. These Terms apply to everything in that proposal.

We may decline or stop work if a project isn’t a good fit, conflicts with our values, or would break any laws. We may also use vetted subcontractors — but we remain fully responsible for the final work.

3. Client Obligations

To get the best results, you agree to:

  • Share accurate information about your brand, goals, and business
  • Reply to requests within 3–5 business days
  • Make sure any materials you share don’t infringe third-party rights
  • Assign one point of contact who can give approvals
  • Keep login credentials and access secure
  • Tell us promptly if your business goals or brand direction changes

Our output depends on your input. If delays happen on your end, timelines may shift and additional fees may apply.

4. Payment & Billing

All fees are set out in your proposal. Standard terms:

  • A 50% non-refundable deposit is due before work starts
  • The remaining balance follows the schedule in your proposal
  • Invoices are due within 14 days
  • Late payments accrue 1.5% monthly interest (18% annually)
  • We may pause work if payment is 14+ days overdue

Refunds:Fees are non-refundable once work begins. If we end a project without cause, we’ll refund fees for any work not yet delivered.

Prices exclude applicable taxes (VAT, GST, etc.), which are added where required by law.

5. Intellectual Property

  • Your content: Once you pay in full, you own everything we created for you — worldwide, forever, royalty-free.
  • Our tools: We keep ownership of our processes, frameworks, and templates. If any are baked into your deliverables, you get a permanent licence to use them as-is.
  • Your materials: You own what you give us. We only use it to do the work.
  • Our portfolio: We may mention working with you in our portfolio. We will never share your confidential data, metrics, or business details without your written approval.

6. Confidentiality

Both parties agree to keep each other’s confidential information private.

Confidential information includes:

  • Business strategies and plans
  • Client and customer data
  • Financial information
  • Unreleased products or services
  • Proprietary processes and systems

Anything you share with us stays between us. We never use your information for any purpose other than delivering your project. We never share it with competitors or third parties.

These confidentiality obligations last for 3 years after our work ends. Trade secrets stay protected indefinitely.

7. Results & Disclaimers

We stand behind our work. Here’s what you need to know:

  • Rankings and AI visibility depend on many factors we don’t control — including algorithm changes and competitor activity
  • Our track record is strong (721+ top-10 rankings, 99% retention) — but past results don’t guarantee the same for every client
  • We’ll always be honest about what’s realistic for your situation before we start
  • Results improve with consistent execution over time

We don’t guarantee specific rankings, traffic numbers, or revenue. Any projections are estimates based on data and experience — not promises.

This disclaimer does not affect any statutory rights you may have as a consumer. Where applicable law does not allow exclusion of implied warranties, those warranties are limited to the maximum extent permitted by law.

8. Limitation of Liability

To the fullest extent allowed by law:

  • Our total liability is capped at the fees you paid us in the 3 months before the issue arose
  • We are not liable for lost revenue, lost profits, lost data, or other indirect losses
  • These limits apply regardless of how a claim arises

These limits do not apply to: death or injury caused by our negligence, fraud, or any liability that cannot legally be excluded.

9. Termination

If you end the project:

  • Give 30 days’ written notice
  • Fees for work done or in progress during that period are still owed
  • Deposits and fees for work already started are non-refundable

If we end the project: We may stop immediately if you breach these Terms and don’t fix it within 10 business days, if you become insolvent, or if continuing would break the law.

After the project ends, both parties return or delete each other’s confidential materials. IP, confidentiality, payment, liability, and governing law terms all continue after termination.

10. Governing Law

These Terms are governed by applicable law. If a dispute comes up:

  • First, we try to resolve it through direct negotiation
  • If that fails within 30 days, we go to mediation
  • Formal legal action is a last resort

Either party can seek urgent legal relief to protect confidential information or intellectual property at any time.

11. Changes to Terms

We may update these Terms. When we do, we’ll update the “Last updated” date at the top of this page.

Active clients will be notified by email for material changes. Updates don’t apply retroactively to existing agreements. For retainer clients, changes take effect at the next renewal.
